Legal Entity

These Terms of Service ("Terms") constitute a legally binding agreement between you and Instalease Corp, a Delaware corporation ("Instalease", "we", "us", or "our"), governing your access to and use of the Instalease platform, website, mobile applications, and services.

1. Acceptance of Terms

By accessing, browsing, or using the Instalease platform (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Service.

By using our Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

Instalease provides an online marketplace platform that connects space owners ("Hosts") with individuals seeking to rent spaces for short-term use ("Renters" or "Guests"). The Service includes:

• Space listing and discovery tools
• Booking and payment processing
• Messaging and communication features
• Review and rating systems
• Dispute resolution assistance
• AI-powered proprietary recommendations and search (with SOC compliance)

Instalease is not a party to the rental agreements between Hosts and Renters. We facilitate connections but do not own, create, manage, or control any listings or spaces.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.2 Account Verification

We may require identity verification for certain transactions or account features. You agree to provide requested verification documentation and consent to verification checks.

4. Booking and Payments

4.1 Bookings

When you request a booking, you are making an offer to enter into a rental agreement with the Host. Bookings are confirmed only when accepted by the Host and payment is successfully processed.

4.2 Payment Terms

All payments are processed securely through our third-party payment processor, Stripe. By making a booking, you authorize us to charge your selected payment method for:

• The total rental amount
• Service fees (typically 10% of the rental amount)
• Any applicable taxes
• Additional fees as disclosed during booking

4.3 Cancellations and Refunds

Cancellation and refund policies vary by listing and are displayed before you complete a booking. Please review our Refund Policy for detailed information. Generally:

• Free cancellation up to 24 hours before the booking start time
• 50% refund for cancellations within 24 hours
• No refund for cancellations after the booking start time

5. Host Responsibilities

If you list a space as a Host, you represent, warrant, and agree to:

• Provide accurate, complete, and truthful listing information
• Maintain your space in safe, clean, and habitable condition
• Honor all confirmed bookings unless extraordinary circumstances occur
• Comply with all applicable laws, regulations, and tax obligations
• Have all necessary permits, licenses, and insurance
• Not discriminate against Renters based on protected characteristics
• Respond promptly to booking requests and messages
• Disclose any known defects, hazards, or limitations of your space

6. Renter Responsibilities

As a Renter, you agree to:

• Use the space only as described and agreed upon with the Host
• Follow all rules, policies, and instructions provided by the Host
• Leave the space in the same condition as you found it
• Report any damage or issues immediately
• Not exceed the maximum occupancy or use limits
• Conduct yourself in a respectful and lawful manner
• Not sublease or transfer your booking without prior written consent

7. Prohibited Activities

You may not use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include:

• Illegal activities or activities that violate any laws or regulations
• Harassment, discrimination, or hate speech
• Fraudulent, misleading, or deceptive conduct
• Impersonating others or providing false information
• Infringing on intellectual property rights
• Interfering with or disrupting the Service
• Attempting to circumvent payment or service fees
• Using automated systems to scrape or access the Service
• Creating duplicate accounts or false reviews

8. Intellectual Property Rights

8.1 Instalease Content

All content on the Service, including text, graphics, logos, images, software, and design elements ("Instalease Content"), is the property of Instalease Corp or its licensors and is protected by copyright, trademark, and other intellectual property laws.

8.2 User Content

By submitting content to the Service (listings, photos, reviews, messages), you grant Instalease a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, distribute, and display such content in connection with operating and promoting the Service.

You represent and warrant that you own or have the necessary rights to all content you submit and that such content does not violate any third-party rights.

9. Third-Party Services

The Service may contain links to third-party websites, services, or resources. We use trusted third-party service providers including:

• Stripe - Payment processing
• SendGrid - Email communications
• Cloud Storage Providers - Image and data storage

We are not responsible for the availability, content, or practices of third-party services. Your use of third-party services is governed by their respective terms and policies.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• INSTALEASE PROVIDES THE SERVICE ON AN "AS-IS" AND "AS-AVAILABLE" BASIS
• WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO INSTALEASE IN THE PAST 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF USERS OR THE CONDITION OF LISTED SPACES

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Instalease Corp, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of these Terms
• Your use of the Service
• Your content or listings
• Your interaction with other users
• Your violation of any rights of third parties

12. Termination

12.1 Termination by You

You may terminate your account at any time by accessing your account settings or contacting us at support@instalease.com. Upon termination, you remain liable for any outstanding obligations.

12.2 Termination by Instalease

We may suspend or terminate your account immediately, without prior notice, if we believe you have:

• Violated these Terms
• Engaged in fraudulent or illegal activity
• Created risk or legal exposure for Instalease or other users
• Engaged in conduct harmful to other users or the Service

13. Dispute Resolution

13.1 Between Users

Disputes between Hosts and Renters should first be resolved directly between the parties. Instalease may provide assistance but is not obligated to resolve disputes.

13.2 Arbitration Agreement

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Arbitration shall take place in Delaware. You waive your right to participate in class action lawsuits.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to or use of the Service shall be instituted in a state or federal court in Delaware.

15. Force Majeure

Instalease shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemics, government actions, or telecommunications failures.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on the Service
• Updating the "Last updated" date
• Sending an email notification to your registered email address
• Displaying an in-app notification

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published on the Service, constitute the entire agreement between you and Instalease Corp regarding the Service and supersede all prior agreements and understandings.

19. Community Standards

All users must adhere to our Community Guidelines, which provide detailed expectations for respectful and safe interactions on the platform.
